Terms of use for the Cloud Factory MCP server

Last updated 18 September 2026. Version 1.0.

These terms govern the use of the MCP server at mcp.cloudfactorygroup.com ("the MCP server"). They supplement the partner agreement between your company and Cloud Factory A/S ("the Partner Agreement"). Where these terms and the Partner Agreement conflict on a matter specific to the MCP server, these terms prevail; on everything else the Partner Agreement applies.

1. Definitions

2. Acceptance and who may use the server

By connecting an MCP client to the MCP server, the User accepts these terms on behalf of the Partner and confirms that the Partner has authorised the use. The MCP server may only be used by Users of a Partner with a valid Partner Agreement, through the User's own login. Accounts, tokens and client connections may not be shared, lent or resold.

The MCP server is intended for Users who administer customers in the Partner Portal and who understand how AI assistants behave, including that they can misread, summarise wrongly or invent details.

3. Preview

The MCP server is offered as a preview. It may contain errors and may be unstable. Tools may be added, changed or removed, and the server may be suspended or discontinued, without notice. No service level applies during the preview, and the MCP server is not covered by the service levels in the Partner Agreement unless Cloud Factory states otherwise in writing.

4. What the server does

The MCP server lets an MCP client read data from the Partner's Cloud Factory account on the User's behalf: customer master data, vendor links and subscription data at the vendors the Partner buys through Cloud Factory. Every call is made with the User's own permissions; the assistant can never see or do more than the User can in the Partner Portal.

The server is read-only at the time of writing. If tools that change data are introduced, they will show the effect of a change and require the User's explicit confirmation before anything is committed. Cloud Factory will describe such tools on the overview page before they are enabled.

5. The User's responsibilities

6. Acceptable use

The Partner may not use the MCP server to:

Cloud Factory applies rate limits per User. A client that exceeds them receives an error telling it when to try again.

7. Third-party AI services

Cloud Factory has no agreement with and no control over the AI services the Partner chooses. Cloud Factory is not responsible for how an AI service stores, uses, trains on or discloses data it receives, for its availability, or for the accuracy of its output. Any claim relating to an AI service is between the Partner and that provider.

8. Availability and changes

Cloud Factory may change, suspend or discontinue the MCP server or any tool at any time, and may suspend a User's or a Partner's access immediately if these terms are breached or if the use threatens the security or stability of the platform. Cloud Factory will give reasonable notice of changes that remove functionality where practicable, through the overview page and by email to partner administrators.

9. Intellectual property

The MCP server, its tools, descriptions and documentation are Cloud Factory's intellectual property, licensed to the Partner for the purposes in these terms for as long as the Partner Agreement is in force. Cloud Factory may use feedback from Partners to improve the service without obligation. Cloud Factory remains free to develop, alone or with others, any similar or competing functionality.

10. Liability

The limitations of liability in the Partner Agreement apply to the MCP server. In addition, Cloud Factory is not liable for loss arising from an AI service's interpretation of data, from actions the Partner takes on the basis of the assistant's output, from data processed outside Cloud Factory's systems, or from the preview status of the server. Nothing in these terms limits liability that cannot be limited under Danish law.

11. Data protection

Cloud Factory processes personal data in connection with the MCP server as described in the privacy policy for the MCP server. For end customers' data the Data Processing Agreement applies unchanged, and the Partner is the data controller. Use of the MCP server adds no sub-processor; the sub-processor overview and the compliance page apply as they do to the rest of the platform.

12. Term and termination

These terms apply from the first connection and for as long as the Partner Agreement is in force. The Partner may stop using the MCP server at any time by disconnecting its clients. Cloud Factory may terminate access to the MCP server with reasonable notice, or immediately for breach. Sections 5, 7, 9 and 10 survive termination.

13. Governing law and venue

These terms are governed by Danish law, excluding its conflict-of-law rules. Disputes are settled as set out in the Partner Agreement; failing that, by the Danish courts with the Court in Esbjerg as first instance.

14. Contact

Questions about these terms: [email protected]. Feedback on the MCP server and its tools is welcome at the same address.
